All information provided and produced on behalf of SPS for the purpose of fulfilling its mission and/or related services, including files, records, brochures, and all derivatives, deliverables, and work product (“Content”), shall be exclusively owned by SPS. SPS retains exclusive ownership of and rights of any content copyrights, patents, trademarks, trade secrets, systems, methods, programs, software, applications, including without limitation web-based applications, websites, and all other proprietary information developed or used by SPS or its management company at any time.
